  In order to regulate the online transaction of construction land-use rightsand to build an open, fair and impartial online transaction order, the Rules for Online Transaction of ConstructionLand-useRightsin Hainan Province (Trial)and the Rules for Online Transaction of Mining Rights in Hainan Province (Trial)are formulated by the Department of Natural Resources and Planning of Hainan Province, which are issued to you for compliance and implementation.

Rules for Online Transaction of ConstructionLand-useRightsin Hainan Province (Trial)

第一章 总  则

Chapter 1 General Provisions

第一条 为规范建设用地使用权网上交易行为,构建公开、公平、公正的网上交易秩序,根据《招标拍卖挂牌出让国有建设用地使用权规定》《海南省建设用地使用权统一交易管理办法》《海南省公共资源交易管理办法(修订)》等有关规定,结合本省实际,制定本规则。

Article 1 In order to regulate the online transaction of construction land-use rightsand to build an open, fair and impartial online transaction order, these Rules are formulated according to the Provisions on the Right to Use State-owned Construction Land By Bidding, Auction and Listing, the AdministrativeMeasures of Hainan Province for Uniform Transactions of ConstructionLand-useRights, and the Administrative Measures for Public Resources Transaction of Hainan Province (Revision), and in combination with the actual conditions of Hainan Province.  

第二条 本规则所称建设用地使用权网上交易,是指省、市、县、自治县以及洋浦经济开发区自然资源和规划主管部门(以下简称出让人)通过海南省建设用地使用权和矿业权网上交易系统以下简称网上交易系统以挂牌、拍卖方式出让、租赁、先租后让(以下简称交易)建设用地使用权的行为。 网上挂牌包括信息发布、竞买申请、资格审核、挂牌报价、限时竞价、成交确认、结果公布等程序。 网上拍卖包括信息发布、竞买申请、资格审核、拍卖竞价、成交确认、结果公布等程序。 以招标方式交易的,暂不纳入网上交易。

Article 2 The online transaction of construction land-use rightsas mentioned in these Rules refers to the transfer, lease, lease before transfer (hereinafter referred to as the transaction) by listing and auction through the online transaction system ofconstruction land-use rightsand mining in Hainan Province (hereinafter referred to as the online transaction system) by the Department of Natural Resources and Planning of Hainan Province, Bureausof Natural Resources and Planning of cities, countiesand autonomous countiesof Hainan Province, and the Bureau of Planning, Construction and Land of Yangpu Economic Development Zone (hereinafter referred to as the transferor). Online listing includes procedures such as information release, bidding application, qualification review, listing quotation, time-limited bidding, transaction confirmation, and results publicity. Online auction includes procedures such as information release, bidding application, qualification review, auction bidding, transaction confirmation, and results publicity. Transactions by way of bidding shall not be included in online transaction for the time being.

第三条 中华人民共和国境内外自然人、法人和其他组织(以下简称竞买人),符合法律法规和交易文件要求的,均可参加建设用地使用权网上交易活动。

Article 3 Natural persons, legal persons, and other organizations (hereinafter referred to as bidders) within and outside the People's Republic of China that meet the requirements of laws, regulations and transaction documents may participate in online transactions ofconstruction land-use rights.

第四条 省自然资源和规划主管部门负责建立完善建设用地使用权网上交易管理制度,对全省的建设用地使用权网上交易行为实施监督管理,并负责组织实施省级储备土地建设用地使用权网上交易活动。 各市县自然资源和规划主管部门根据属地管理的原则,组织实施本市县建设用地使用权网上交易活动。 省土地储备整理交易中心(以下简称省土地交易中心)负责对网上交易系统进行日常管理和维护。

Article 4 The Department of Natural Resources and Planning of Hainan Provinceis responsible for establishing and improving the management system of the online transaction of construction land-use rights, supervising and administering the online transaction of construction land-use rightsin the whole province, and organizing and implementing the online transaction of the right to use provincial reserve land for construction. The competent departmentsof natural resources and planning of citiesand countiesshall, in accordance with the principle of territorial administration, organize and implement online transactions of the rights to use construction landof citiesand counties.the Land Reserve Consolidation and Transaction Center of Hainan Province(hereinafter referred to as the Provincial Land Transaction Center) is responsible for the daily management and maintenance of the online transaction system.

第五条 参与网上交易的单位和个人,应当严格遵守保密规定,不得泄露竞买人信息和建设用地使用权交易相关保密信息。

Article 5 Units and individuals participating in online transactions shall strictly abide by the confidentiality regulations, and shall not disclose the information of bidders or the confidential information related to the transaction of the rights to use construction land.

第六条 出让人应当建立完善信息安全保护制度,网上交易应当符合互联网安全保护相关规定。

Article 6 The transferor shall establish and improve the information security protection system, and online transactions shall comply with the relevant provisions on Internet security protection.

第七条 网上交易活动应当遵循公开、公平、公正和诚实信用原则,不得设定影响公开、公平、公正竞争的限制条件。

Article 7 Online transactions shall follow the principles of openness, fairness, impartiality, honesty and credibility, and shall not set restrictions that affect open, fair, and just competition.

第八条 建设用地使用权网上交易可以按照本规则采取全流程网上交易方式,也可以采取“线上+线下”相结合的半流程网上交易方式,由出让人在交易方案中予以明确。 “线上+线下”相结合的半流程网上交易方式,是指项目登记和信息发布、竞买申请和资格审核以及结果公布等交易环节在网上交易系统进行,并按照本规则相关规定执行;报价竞价、成交确认等交易环节在线下交易现场进行,并 按照国家和省相关规定执行。线下交易环节的挂牌报价和竞价结果等非保密信息应及时在网上交易系统填报并予以公开。

Article 8 The online transaction of Construction Land-Use Rightsmay adopt a whole-process online transaction method according to these Rules, or a semi-process online transaction method combining "online + offline", which shall be specified by the transferor in the transaction scheme. The semi-process online transaction mode of "online + offline" means that the transaction links such as project registration and information release, bidding application, qualification review and results publicity shall be carried out in the online transaction system and implemented in accordance with the relevant provisions of these Rules; the transaction links such as quotation, bidding and transaction confirmation shall be conducted at the offline transaction site, and implemented in accordance with the relevant national and provincial regulations. Non-confidential information such as listing quotations and bidding results in offline transactions shall be timely filled in and disclosed in the online transaction system.

第二章 一般规定

Chapter II General Provisions

第九条 网上交易实行数字认证制度,网上交易相关监管人员、出让人、竞买人、省土地交易中心和其他管理人员均持CA数字证书实名登录网上交易系统进行相关操作,并对操作指令负责。

Article 9 The digital authentication system shall be implemented for online transactions. Online transaction-related supervisors, transferors, bidders, provincial land transaction center and other management personnel all log in to the online transaction system in real names with CA digital certificates to perform related operations, and shall be responsible for operating instructions.

第十条 网上交易竞买保证金由县级以上自然资源和规划主管部门选定专门银行账户管理,被选定银行必须提供支持网上交易系统的连接接口和实时支付、信息交换的网络信息软硬件系统与服务体系,并确保银行系统与网上交易系统之间、银行网点之间的数据传输畅通安全。

Article 10 The bidding deposit for the online transaction shall be managed by a special bank account designatedby the department/bureauof natural resources and planning at or above the county level. Thedesignatedbank must provide a connection interface supporting the online transaction system and a network information software and hardware system for real-time payment and information exchange, and ensure the smooth and safe data transmission between the banking system and the online transaction system and between bank branches.

第十一条 网上交易过程所涉及时间除竞买保证金到账时间以银行系统记录到账时间为准外,其余时间均以网上交易系统服务器时间为准,数据记录时间以数据信息到达网上交易系统服务器的时间为依据。

Article 11 The time involved in the online transaction process shall be subject to the server time of the online transaction system, except that the time when the auction deposit shall be subject to the time recorded in the bank system. The data recording time shall be based on the time when the data information reaches the server of the online transaction system.

第十二条 网上交易系统管理单位和技术支持单位有权对出让人、竞买人网上交易形成的电子数据进行保留,并作为出让人、竞买人交易行为的证明。

Article 12 The administrative unit of the online transaction system and the technical support unit have the right to retain the electronic data formed by the online transactions of the transferor and the bidder, and serve as the proof of their transaction behaviors.

第十三条 建设用地使用权网上交易设有底价,底价在交易活动结束前应当严格保密,在挂牌报价截止前30分钟内或拍卖开始前30分钟内由出让人将底价录入网上交易系统。未按时录入底价的,网上交易系统将自动终止该宗交易活动。 底价录入应当在专门场所及专用电脑上操作完成,并有监督人员进行全程监督,确保底价录入真实、准确、全程保密。底价录入具体操作规程由县级以上自然资源和规划主管部门自行确定。

Article 13 There is a reserve price for online transactions of construction land-use rights. The reserve price shall be kept strictly confidential before the end of the transaction, and the transferor shall enter the reserve price into the online transaction system within 30 minutes before the deadline for the listing quotation or 30 minutes before the beginning of the auction. The online transaction system will automatically terminate the transaction if the reserve price is not entered on time. The entry of the reserve price shall be completed in a special place and on a dedicated computer, and supervision personnel shall supervise the whole process to ensure the authenticity, accuracy and confidentiality of the entry of the reserve price. Specific operating procedures for entry of the reserve price shall be determined by the natural resources and planning authorities at or above the county level.

第三章 项目登记和信息发布

Chapter III Project Registration and Information Release

第十四条 出让人实施建设用地使用权网上交易活动,应当登录网上交易系统办理项目登记,录入建设用地使用权的基本情况、使用条件等信息,并按要求上传相关资料。 省土地交易中心在 2个工作日内对出让人提交资料的完整性进行形式审核。资料齐全的,省土地交易中心应当予以登记;资料不齐全的,不予登记,并一次性告知理由。

Article 14 In carrying out online transactions of construction land-use rights, the transferor shall log in to the online transaction system for project registration, enter the basic information such asconstruction land-use rightsand use conditions, and upload relevant materials as required. The Provincial Land Transaction Center shall conduct a formal review on the integrity of the materials submitted by the transferor within 2 working days. If the information is complete, the Provincial Land Transaction Center shall register it; if the information is incomplete, it shall not be registered, and the reason shall be informed once and for all.

第十五条 建设用地使用权网上交易进场登记受理后,出让人应当及时在网上交易系统发布交易公告、交易须知及相关文件。自登记之日起超过30日未发布交易公告的,该次登记失效,出让人需重新办理登记。

Article 15 After the online transaction of construction land-use rightsis registered and accepted, the transferor shall promptly issue transaction announcements, transaction instructions and related documents in the online transaction system. If the transaction announcement is not issued for more than 30 days from the date of registration, such registration shall become invalid and the transferor shall go through registration again.

第十六条 网上交易公告应当以单宗建设用地使用权进行发布,即“一宗地一公告”。公告内容、发布渠道应当符合国家和省相关规定以及本规则的要求。各渠道发布的交易公告应保持时间同步、内容一致。

Article 16 Online transaction announcements shall be issued in the form of the using right of a single construction plot, that is, "one announcement for one plot". The contents and release channels of announcement shall comply with relevant national and provincial regulations and the requirements of these Rules. Transaction announcements issued by various channels should keep the time synchronized and the content consistent.

第十七条 网上交易公告应当至少在网上挂牌报价、拍卖竞价开始日前20日发布。 网上挂牌的,挂牌报价时间不少于 10日。竞买申请截止时间应当设定在挂牌报价截止日前2日。 网上拍卖的,竞买申请截止时间应当设定在拍卖竞价开始日前2日。

Article 17 The online transaction announcement shall be released at least 20 days before the start of online quotation and auction bidding. For online listing, the quotation time shall not be less than 10 days. The deadline for bidding application shall be set 2 days before the deadline for listing quotation. For online auctions, the deadline for bidding application shall be set 2 days before the start of auction bidding.

第十八条 出让人对建设用地使用权交易信息的准确性、真实性、合规性负责,并承担违规发布建设用地使用权交易公告的责任。

Article 18 The transferor shall be responsible for the accuracy, authenticity and compliance of the transaction information of construction land-use rights, and shall be responsible for releasing the announcement of such transaction in violation of regulations.

第十九条 交易公告一经发布,即具有公信力,不得随意更改。交易公告、交易须知内容需要调整修改的,出让人应当终止原公告后重新发布交易公告。

Article 18 Transaction announcements cannot be easily changed once they are issued. If the contents of the trading announcements or notices require adjustments or modifications, the original versions shall be terminated and new trading announcements shall be issued.

第二十条 出让人可以通过照片等方式在网上交易系统发布反映建设用地现实状况的有关信息。竞买人提出现场踏勘需求的,出让人应当提供必要的协助。

Article 20 The transferor may release relevant information reflecting the actual conditions of construction land in the online transaction system through photos and other means. The transferor shall provide necessary assistance if the bidder requests site survey.

第四章 竞买申请和资格审核

Chapter 4 Bidding Application and Qualification Review

第二十一条 网上竞买申请、资格审核、报价竞价程序按网上交易系统预先设定的程序运行,竞买人应当在仔细阅读并熟知交易规则和有关文件后,参加网上挂牌、拍卖活动。 竞买申请一经提交,即视为竞买人对交易规则、交易须知、建设用地使用权使用条件、现状和可能存在的风险提示等无异议并完全接受。

Article 21 The procedures of online bidding application, qualification review, quotation and bidding shall be operated according to the pre-set procedures of the online transaction system. Bidders shall carefully read and be familiar with transaction rules and relevant documents before participating in online listing and auction activities. Once the bidding application is submitted, it shall be deemed that the bidder has no objection to and fully accepts the transaction rules, transaction instructions, conditions forconstruction land-use rights, status quo and possible risks.

第二十二条 竞买人应当妥善保管 CA数字证书,竞买人通过网上交易系统实施的任何行为,其产生的法律责任由竞买人自行承担。 竞买人的信息资料如有任何变动,须及时更新CA数字证书,否则由此引起的法律责任由竞买人自行承担。

Article 22 Bidders shall properly keep the CA digital certificate, and bear the legal liability arising from any of their acts through the online transaction system. In case of any change in the bidder's information, the CA digital certificate must be updated in time, otherwise the bidder shall bear the legal liability arising therefrom.

第二十三条 竞买人应当按照建设用地使用权交易文件的要求,在公告规定的竞买申请时间内登录网上交易系统,提交竞买申请、上传竞买申请文件。同时竞买多宗建设用地使用权的,应当分别申请。

Article 23 Bidders shall, in accordance with the requirements of the transaction documents of construction land-use rights, log in to the online transaction system within the bidding application time stipulated in the announcement, submit bidding application and upload bidding application documents. Bidders who bid for the right of using more than one parcel of construction land at the same time shall apply for the right separately.

第二十四条 竞买人可以单独申请竞买,也可以联合申请竞买。按规定可以联合申请竞买的,竞买人应当如实填报联合竞买各方的相关信息和出资比例,并明确授权联合申请人中的一方实施竞买申请、交纳竞买保证金、网上报价、签订建设用地使用权出让(租赁、先租后让)合同等一切行为。 经授权的一方所实施的行为,为联合各方共同的真实意思表示,所产生的一切法律后果,由联合各方承担连带的法律责任。联合竞买只需经授权的一方办理CA数字证书。

Article 24 Bidders may apply for bidding individually or jointly. If it is possible to jointly apply for bidding according to regulations, the bidders shall truthfully fill outthe relevant information and contribution ratios of the parties to the joint bidding, and clearly authorize one of the joint applicants to implement all acts such as bidding application, payment of bidding deposit, online quotation, signing of the transfer contract ofConstruction Land-Use Rights(lease, lease before transfer), etc. The acts performed by the authorized party are the joint true intention of the joint parties, and all legal consequences arising therefrom shall be jointly and severally liable by the joint parties. Joint bidding only requires an authorized party to obtain a CA digital certificate.

第二十五条 竞买人竞得建设用地使用权后,拟成立新公司进行开发建设的,在提交竞买申请时应当在竞买申请文件中明确新公司的出资构成、成立时间等内容。

Article 25 If a bidder intends to establish a new company for development and construction after winning the right to use the construction land through competition, it shall specify the composition of capital contribution and establishment time of the new company in the bidding application documents when submitting the bidding application.

第二十六条 竞买人在网上交易系统提交竞买申请时,系统自动生成唯一的随机竞买保证金账号。同一竞买人对同一交易标的重新提交申请的,生成的保证金账号不变。 竞买人应当从本企业、本组织或本人身份开立的银行账户将竞买保证金足额、按时转入竞买保证金账号,可以分多笔转入,不接受现钞存入。竞买保证金到账时间以银行信息系统入账时间为准。竞买人不按上述要求交纳竞买保证金的,银行系统自动判定该笔保证金无效。

Article 26 When a bidder submits a bidding application in the online transaction system, the system will automatically generate a unique random bidding deposit account. If the same bidder resubmits an application for the same transaction target, the generated deposit account number will remain unchanged. The bidder shall transfer the full amount of the bidding margin from the bank account opened by the company, the organization, or his own identity. It may be transferred in multiple amounts and cash deposits are not accepted. The arrival time of the bidding deposit shall be subject to the time of deposit entry in the bank information system. If the bidder fails to pay the bidding deposit as required, the banking system will automatically determine that the deposit is invalid.  

第二十七条 出让人在公告规定的竞买资格审核时间内才能对申请竞买人提交的竞买申请文件进行审核,并对竞买申请情况保密。 竞买资格审核开始后,出让人应当在2个工作日内、资格审核截止时间前完成竞买申请文件审核。

Article 27 The transferor can only review the bidding application documents submitted by the bidding applicant within the bidding qualification review time specified in the announcement, and keep the bidding application confidential. After the bidding qualification review begins, the transferor shall complete the review of bidding application documents within 2 working days and before the deadline for qualification review.

第二十八条 竞买人的竞买申请文件审核通过,且竞买保证金已按要求交纳的,网上交易系统自动发放《竞买资格确认书》,确认其获得竞买资格;竞买申请文件审核未通过,或竞买保证金未按要求交纳的,不能获得竞买资格,审核结果通过网上交易系统告知竞买人。 在竞买申请截止时间前,竞买申请文件审核未通过的竞买人,可重新提交竞买申请。

Article 28 If a bidder's bidding application documents are approved, and the bidding deposit has been paid as required, the online transaction system will issue the "Confirmation of Bidder Qualification" automatically to confirm that the bidder obtained the bidding qualification; if the bidding application documents fail to pass the review, or the bidding deposit is not paid as required, the bidder shall not be eligible for bidding, and the review results shall be notified to the bidder through the online transaction system. Bidders who fail to pass the review of bidding application documents may resubmit their bidding applications before the deadline.

第二十九条 如发生竞买人提交竞买申请时无法生成竞买保证金账号、保证金无法入账、保证金到账信息发送出错、足额交纳保证金后超过10分钟仍未获得网上交易系统反馈信息数据等情形,保证金交纳银行应当查明原因,及时做好应急处置。 因银行信息系统发送保证金到账信息延迟或有误,导致竞买人未取得竞买资格,在网上挂牌报价截止前出让人可依据银行出具的保证金到账证明,及时手动颁发相关竞买人的竞买资格。

Article 29 If a bidder fails to generate a bidding deposit account when submitting the bidding application, the security deposit cannot be credited to the account, the security deposit receipt information is sent incorrectly, orthere is still no feedback data from the online transaction system within 10 minutes after the security deposit is paid in full, the bank where the security deposit is paid shall find out the reasons and make emergency disposal in time. If a bidder fails to obtain the bidding qualification due to the delay or error of the deposit arrival information sent by the bank information system, the transferor can manually issue the bidding qualification of relevant bidders in time before the deadline of online listing quotation according to the deposit arrival certificate issued by the bank.

第五章 网上挂牌

Chapter 5 Online Listing

第三十条 建设用地使用权网上挂牌分为挂牌报价和限时竞价两个阶段,获得竞买资格的竞买人在挂牌报价和限时竞价阶段按照以下规则报价:

Article 30 The online listing of Construction Land-Use Rightsis divided into two stages: listing quotation and time-limited bidding. Bidders qualified for bidding shall quote according to the following rules in the listing quotation and time-limited bidding stages:

(一)报价以增价方式进行,同一竞买人可连续或多次报价。

(二)初次报价不得低于公告起始价,之后每次报价应当比当前最高有效报价增加至少一个加价幅度,否则为无效报价,系统不予接受。

(三)报价相同时,系统自动确认先提交价格者为报价人。

(四)竞买人应当谨慎报价,报价一经系统接受将即时公布。

(1) The quotation shall be carried out by means of price increase, and the same bidder may make consecutive or multiple quotations.

(2) The initial quotation shall not be lower than the announced starting price, and each subsequent quotation shall increase by at least one more price than the current highest effective quotation; otherwise, the quotation will be invalid and will not be accepted by the system.

(3) When the quotations are the same, the system automatically confirms that the one who submits the price first is the bidder.

(4) Bidders shall quote cautiously. The quotation will be released immediately once accepted by the system.

第三十一条 挂牌报价阶段无竞买人报价,挂牌报价截止时建设用地使用权网上挂牌活动自动结束;挂牌报价阶段有竞买人报价,挂牌报价截止时系统自动询问所有竞买人是否参与限时竞价,询问时间为5分钟。

Article 31 If there is no bidder's quotation in the listing and quotation stage, and the online listing of Construction Land-Use Rightswill automatically end when the listing and quotation ends; if there is a bidder's quotation in the listing and quotation stage, the system will automatically ask all bidders whether to participate in the time-limited bidding when the quotation ends. The inquiry time is 5 minutes.

第三十二条 无竞买人选择参与限时竞价的,建设用地使用权网上挂牌活动结束,挂牌报价截止时报价最高且不低于底价者即为竞得人,挂牌成交。低于底价的,挂牌不成交。 有竞买人选择参与限时竞价的,系统进入限时竞价阶段,所有获得竞买资格的竞买人均可参与限时竞价。建设用地使用权网上挂牌限时竞价的起始价为挂牌报价截止时的最高报价增加一个加价幅度后的价格。

Article 32 If no bidder chooses to participate in the time-limited bidding, the online listing of construction land-use rightswill end, and the bidder with the highest quotation that is not lower than the reserve price will be regarded as the winning bidder, and the listing transaction will be concluded. If it is lower than the reserve price, the listing will not be concluded. If a bidder chooses to participate in the time-limited bidding, the system will enter the time-limited bidding stage, and all qualified bidders may participate in the time-limited bidding. The starting price of online time-limited bidding for construction land-use rightsshall be the price after the highest quotation at the deadline of listing quotation is increased by a price increase range.

第三十三条 建设用地使用权网上挂牌限时竞价阶段以5分钟倒计时为竞价时限,如在5分钟倒计时内有新的报价,系统即从接受新的报价起重新倒计时5分钟。 每次5分钟倒计时的最后1分钟,网上交易系统自动持续出现限时竞价即将截止的提示。5分钟倒计时截止,系统不再接受新的报价。

Article 33 The time-limited bidding stage for the online listing ofConstruction Land-Use Rightstakes a 5-minute countdown as the bidding time limit. If there is a new quotation within the 5-minute countdown, the system will count down again for 5 minutes from the acceptance of the new quotation. At the last minute of each 5-minute countdown, the online transaction system will automatically continue to prompt that the time-limited bidding is about to end. The system will no longer accept new quotations when the 5-minute countdown expires.

第三十四条 竞买人应当尽量避免在挂牌报价截止或限时竞价倒计时截止前最后1分钟内进行报价,以免因网络延迟等造成网上交易系统无法接受数据导致报价无效,出让人对此不承担任何责任。

Article 34 Bidders shall try their best to avoid making quotations within the last minute before the end of the listing quotation or the deadline of the time-limited bidding countdown, so as to avoid the failure of the online transaction system to accept the data and result in the invalid quotation due to network delay, for which the transferor shall not bear any responsibility.

第三十五条 限时竞价截止时,建设用地使用权网上挂牌按

下列规则确认是否成交:

Article 35 When the time-limited bidding ends, the online listing ofconstruction land-use rightsshall be confirmed whether the transaction is concluded according to the following rules:

(一)限时竞价期间无人报价的,挂牌报价截止时出价最高且不低于底价者即为竞得人,挂牌成交;低于底价的,挂牌不成交。

(二)限时竞价期间有人报价的,报价最高且不低于底价者为竞得人,挂牌成交;低于底价的,挂牌不成交。

(1) If there is no quotation during the time-limited bidding period, the bidder with the highest quotation that is not lower than the reserve price at the end of the listing quotation shall be the winning bidder, and the listing transaction shall be concluded; if it is lower than the reserve price, the listing will not be concluded.

(2) If there is a quotation during the time-limited bidding period, the bidder with the highest quotation that is not lower than the reserve price shall be the winning bidder, and the transaction shall be listed; if it is lower than the reserve price, the listing will not be executed.

第六章 网上拍卖

Chapter VI Online Auction

第三十六条 建设用地使用权网上拍卖报价规则适用本规则第三十条规定。

Article 36 The provisions of Article 30 of these Rules shall apply to the online auction quotation rules for construction land-use rights.


第三十七条 建设用地使用权网上拍卖以限时竞价形式进行,每次报价以5分钟倒计时为竞价时限,倒计时规则适用本规则第三十三条规定。

Article 37 The online auction of construction land-use rightsshall be conducted in the form of time-limited bidding. Each quotation shall be subject to 5-minute countdown as the bidding time limit. The provisions of Article 33 of these Rules shall apply to the countdown rules.

第三十八条 建设用地使用权网上拍卖开始后第一次 5分钟倒计时内无竞买人报价的,网上拍卖结束,拍卖不成交;有竞买人报价的,成交确认规则适用本规则第三十五条第(二)款规定。

Article 38 If there is no bidder's quotation within the first 5-minute countdown after the online auction of Construction Land-Use Rightsstarts, the online auction ends and the auction will not be concluded; If there is a bidder's quotation, the provisions of paragraph (2) of Article 35 of these Rules shall apply to the transaction confirmation rules.  

第七章 成交确认和结果公布

Chapter VII Transaction Confirmation and Results Announcement

第三十九条 建设用地使用权网上挂牌、网上拍卖确认竞得后,网上交易系统自动向竞得人发送《竞价结果通知书》,并即时告知交易结果。

Article 39 After the Construction Land-Use Rightsis listed online and the online auction confirms the winning, the online transaction system will automatically send the Notice of Bidding Results to the winning bidder and notify the transaction results immediately.

第四十条 竞得人应当按照《竞价结果通知书》的要求,在竞得之日起5个工作日内携带相关交易竞买申请文件,与出让人签订《成交确认书》。

Article 40 The winning bidder shall, in accordance with the requirements of the Notice of Bidding Results, sign the Transaction Confirmationwith the transferor within 5 working days from the date of winning the bidding with relevant application documents for bidding.

第四十一条 《成交确认书》签订后,竞得人在约定的期限内与出让人签订建设用地使用权出让(租赁、先租后让)合同。

Article 41 After the Transaction Confirmationis signed, the winning bidder shall sign a contract for the transfer (lease, lease before transfer) of construction land-use rightswith the transferor within the agreed period.


第四十二条 出让人应当在建设用地使用权网上交易活动结束后10个工作日内公布成交结果,并将结果公布文件上传网上交易系统。

Article 42 The transferor shall announce the transaction results within 10 working days after the completion of the online transaction ofconstruction land-use rights, and upload the announcement documents of the results to the online transaction system.

第四十三条 竞得人交纳的竞买保证金,成交后由出让人按照有关规定转为土地出让金(租金),不计利息。 未获得竞买资格的竞买人以及未竞得的竞买人交纳的竞买保证金,由出让人在网上交易活动结束后5个工作日内统一退还,不计利息。

Article 43 The bidding deposit paid by the winning bidder shall be converted to the land transfer fee (rent) by the transferor in accordance with relevant regulations after the transaction, without interest. The bidding deposits paid by bidders who are not qualified for bidding and bidders who have not won the bidding shall be returned uniformly by the transferor within 5 working days after the end of the online transaction activity, without interest.

第四十四条 因系统故障导致竞得结果错误、竞得人放弃竞得资格等原因,出让人需要取消成交结果的,应当书面通知省土地交易中心在网上交易系统撤销该宗建设用地使用权的网上交易结果。

Article 44 If the transferor needs to cancel the transaction results due to wrong bidding results caused by a system failure, or the bidder waives the bidding qualification, it shall notify the Provincial Land Transaction Center in writing to cancel the online transaction results of the Construction Land-Use Rightsin the online transaction system.

第八章 交易中止和终止

Chapter 8 Suspension and Termination of Transactions

第四十五条 有下列情形之一的,出让人应当发布中止公告,中止建设用地使用权网上交易活动:

Article 45 Under any of the following circumstances, the transferor shall issue a suspension announcement to suspend the online transaction ofconstruction land-use rights:

(一)监察机关、司法机关等依法要求中止网上交易活动的

(1) The supervisory and judicial organs require the suspension of online transactions in accordance with the law;

(二)网上交易系统软、硬件故障,网上交易系统网络专线故障,CA数字认证系统故障,电力故障等因素,导致网上交易系统不能正常运行的;

(2) The factors such as the failure of the software, hardware and the network dedicated line of the online transaction system, the failure of the CA digital certification system and the power failure cause the online transaction system to fail to operate normally;

(三)黑客入侵、电脑病毒传播等网络安全问题,导致系统不能正常运行或数据被篡改丢失的;

(3) Network security issues such as hacker intrusion and computer virus spread result in the abnormal operation of the system or data tampering and loss;

(四)因不可抗力应当中止网上交易活动的;

(4) Online transactions should be suspended due to force majeure;

(五)依照法律法规和有关规定应当中止网上交易活动的其他情形。

(5) Other circumstances under which online transactions should be suspended in accordance with laws, regulations and relevant provisions.

第四十六条 建设用地使用权网上交易活动中止的原因消除后,出让人应当及时发布恢复公告,恢复网上交易活动。网上交易中止后恢复交易的,交易时间相应顺延。交易中止前已取得竞买资格的竞买人,其竞买资格在交易恢复后继续有效。

Article 46 After the reasons for the suspension of online transactions ofConstruction Land-Use Rightsare eliminated, the transferor shall timely issue a resumption announcement to resume online transactions. (一)网上交易中止时间超过5个工作日,不能恢复交易的;

(二)监察机关、司法机关等依法要求终止网上交易活动的

(三)因相关政策、宗地规划条件等发生变化,对建设用地使用权有重大影响,出让人认为有必要终止的;

(3) The transferor deems it necessary to terminate due to changes in relevant policies and parcel planning conditions that may have a significant impact on construction land-use rights;

(四)因不可抗力应当终止网上交易活动的;

(4) Online transactions should be terminated due to force majeure;

(五)依照法律法规和有关规定应当终止网上交易活动的其他情形。

(5) Other circumstances under which online transactions should be terminated in accordance with laws, regulations and relevant regulations.

建设用地使用权网上交易终止后,出让人应当在交易活动终止后5个工作日内将竞买人交纳的竞买保证金全额退还,不计利息。

第四十八条 出让人发布中止公告和终止公告的,应当明确中止、终止交易的具体理由,在原公告渠道同步发布,并通知已提交申请的竞买人。

第四十九条 出现本规则第四十五条第(二)、(三)、(四)项情况的,出让人和省土地交易中心应当按照《海南省建设用地使用权和矿业权网上交易应急处置办法》《海南省建设用地使用权和矿业权网上交易系统运行维护和应急处置预案》及时采取应急措施予以处置,不承担相关责任。

Article 49 In case of any situation in items (2), (3) and (4) of Article 45 of these Rules, the transferor and the Provincial Land Transaction Center shall take emergency measures for disposal in time in accordance with theMeasures for Emergency Response of Online Transaction of Construction Land-Use Rightsand Mining Rights in Hainan Province, the Operation, Maintenance and Emergency Response Plan for the Online Transaction System for Construction Land-Use Rightsand Mining Right in Hainan Province without assuming relevant responsibilities.

第五十条 竞买人无法出价的,应当提交有关佐证材料及时向出让人反映。出让人应当在第一时间内对竞买人反映的疑似交易异常情况书面通知省土地交易中心。省土地交易中心应当立即组织技术支撑力量查找原因,排除故障。

Article 50 If a bidder is unable to make a bid, it shall submit relevant supporting materials to the transferor in a timely manner. The transferor shall, within the first time, notify the Provincial Land Transaction Center in writing of the suspected abnormal situation of the transaction reported by the bidder. The Provincial Land Transaction Center shall immediately organize technical personnel to help find out the causes and eliminate faults.

第五十一条 因竞买人使用的计算机遭遇网络堵塞、病毒入侵、软硬件故障或者损毁、遗失数字证书,遗忘或者泄露密码等原因,导致不能正常登录网上交易系统或进行申请、报价、竞价等,其后果由竞买人自行承担,网上交易活动不中止或终止。

Article 51 If the computer used by the bidder encounters network blockage, virus intrusion, software and hardware failure or damage, loss of digital certificate, forgetting or divulging password, resulting in a failure to log in to the online transaction system or make an application, quotation or bid, the consequences shall be borne by the bidder, and the online transactions shall not be suspended or terminated.

第五十二条 网上交易活动中相关工作人员存在玩忽职守、滥用职权、接受贿赂等行为的,依法依规追究有关人员责任。

Article 52 If relevant staff members neglect their duties, abuse their powers, and accept bribes in online transactions, they shall be held accountable in accordance with laws and regulations.

第五十三条 出让人擅自改变竞得结果,或者竞得人放弃竞得的,应当由相应行为人承担相应法律责任。

Article 53 If the transferor changes the results of the competition without authorization, or the winning bidder abandons the competition, the corresponding actor shall bear the legal liability.

第五十四条 竞得人有下列行为之一的,竞得结果无效;造成损失的,应当依法承担赔偿责任

Article 54 If a winning bidder commits one of the following acts, the result of the bidding shall be invalid; if losses are caused, it shall be liable for compensation according to law:

(一)提供虚假信息或隐瞒事实的

(1) Providing false information or concealing facts;

(二)采取行贿、恶意串通等非法手段竞得的;

(2) Winning by illegal means such as bribery or malicious collusion;

(三)对其他竞买人实施网络攻击非法竞得的。

(3) Illegally winning by carrying out cyber attacks on other bidders.

第五十五条 因银行信息系统错误或业务人员操作失误导致交易异常的,省土地交易中心应当按照约定责成有关银行落实整改。

Article 55 If the transaction is abnormal due to an error of the bank's information system or the operational error of the business personnel, the Provincial Land Transaction Center shall instruct the relevant bank to make rectification in accordance with the agreement.

第五十六条 省自然资源和规划主管部门适时开展抽查,发现交易活动违法违规的,责令各市县自然资源和规划主管部门及时纠正,情节严重的,通报批评,限期整改,并依法依规追究责任。

Article 56: The Department of Natural Resources and Planning of Hainan Provinceshall conduct spot checks at appropriate time. If it finds that the transactions violate laws and regulations, it shall order the natural resources and planning department of each city and county to correct them in time. If the circumstances are serious, it shall circulate a notice of criticism to require rectification within a prescribed time limit, and investigate for liability according to law and regulations.

第五十七条 省自然资源和规划主管部门依法受理群众对违法违规交易行为的举报和投诉,并及时开展调查处理。

Article 57 The Department of Natural Resources and Planning of Hainan Provinceshall accept reports and complaints from the public about illegal transactions in accordance with the law, and carry out investigation and handling in a timely manner.

第十章 附  则

Chapter X Supplementary Provisions

第五十八条 本省行政区域内按规定以挂牌和拍卖方式进行农村集体经营性建设用地入市交易的,参照本规则执行。

Article 58 These Rules shall apply to the transactions of rural collectively operated construction land entering the market by means of listing and auction in the administrative region of the province.

第五十九条 省自然资源和规划主管部门保留对本规则的解释权,并有权根据实际情况对本规则做出适时的修改。

Article 59 The Department of Natural Resources and Planning of Hainan Provincereserves the right to interpret these Rules and make timely amendments to these Rules according to actual conditions.

第六十条 本规则自印发之日起实施,有效期5年。

Article 60 These Rules shall come into force as of the date of issuance and shall be valid for 5 years.

  1. 总 则

Chapter 1 General Provisions

第一条 为规范矿业权(探矿权、采矿权)网上交易行为,构建公开、公平、公正的网上交易秩序,根据《矿业权交易规则》《自然资源部关于调整矿业权交易规则有关规定的通知》《海南省公共资源交易管理办法(修订)》等有关规定,结合我省实际,制定本规则。

第二条 本规则所称海南省矿业权网上交易,是指县级以上自然资源和规划主管部门(以下简称出让人)委托海南省矿业权交易中心通过海南省建设用地使用权和矿业权网上交易系统以下简称网上交易系统以挂牌、拍卖方式出让矿业权的行为。 网上挂牌包括信息发布、竞买申请、资格审核、挂牌报价、限时竞价、成交确认、结果公示等程序。 网上拍卖包括信息发布、竞买申请、资格审核、拍卖竞价、成交确认、结果公示等程序。 以招标方式交易的,暂不纳入网上交易。

Article 2 The term "Online Transaction of Mining Rights in Hainan Province"as mentioned in these Rules refers to the act that the competent department of natural resources and planning at or above the county level (hereinafter referred to as the transferor) entrusts the Mining Rights Transaction Center of Hainan Province to transfer mining rights by listing and auction through the online transaction system of Construction Land-Use Rightsand mining right in Hainan Province (hereinafter referred to as the online transaction system). Online listing includes procedures such as information release, bidding application, qualification review, listing quotation, time-limited bidding, transaction confirmation, and results publicity. Online auction includes procedures such as information release, bidding application, qualification review, auction bidding, transaction confirmation, and results publicity. Transactions by way of bidding shall not be included in the online transaction for the time being.

第三条 符合法律法规规定和出让文件要求的,能独立承担民事责任的法人(以下简称竞买人),均可参加矿业权网上交易活动。

第四条 省自然资源和规划主管部门负责建立完善矿业权网上交易管理制度,对全省的矿业权网上交易行为实施监督管理。 省和市县自然资源和规划主管部门根据矿业权审批登记权限或上级主管部门的授权,组织实施矿业权网上交易活动。 省矿业权交易中心提供全省统一的矿业权网上交易服务,负责对网上交易系统进行日常管理和维护。

Article 4 The Department of Natural Resources and Planning of Hainan Provinceis responsible for establishing and improving the management system for online mining rights transaction, and exercising supervision and administration over online transaction of mining rights across the province. The Department of Natural Resources and Planning of Hainan Province and the Bureaus of Natural Resources and Planning of each city and county of Hainan Province shall organize and implement online mining rights transactions according to the authority of examination and approval and registration of mining rights or the authorization of higher authorities. the Mining Rights Transaction Center of Hainan Provinceprovides unified online transaction services of mining rights across the province, and is responsible for the daily management and maintenance of the online transaction system.

第五条 参与网上交易的单位和个人,应当严格遵守保密规定,不得泄露竞买人信息和矿业权出让相关保密信息。

Article 5 Units and individuals participating in online transactions shall strictly abide by the confidentiality regulations, and shall not disclose the information of bidders or the confidential information related to the transaction of the rights to use construction land.

第六条 出让人应当建立完善信息安全保护制度,网上交易应当符合互联网安全保护相关规定。

Article 6 The transferor shall establish and improve the information security protection system, and online transactions shall comply with the relevant provisions on Internet security protection.

第七条 网上交易活动应当遵循公开、公平、公正和诚实信用原则,不得设定影响公开、公平、公正竞争的限制条件。

Article 7 Online transactions shall follow the principles of openness, fairness, impartiality, honesty and credibility, and shall not set restrictions that affect open, fair, and just competition.

第八条 矿业权网上交易可以按照本规则采取全流程网上交易方式,也可以采取“线上+线下”相结合的半流程网上交易方式,由出让人在交易方案中予以明确。“线上+线下”相结合的半流程网上交易方式,是指信息发布、竞买申请和资格审核以及结果公示等交易环节在网上交易系统进行,并按照本规则相关规定执行;报价竞价、成交确认等交易环节在线下交易现场进行,并按照国家和省相关规定执行。线下交易环节的挂牌报价和竞价结果等非保密信息应及时在网上交易系统填报并予以公开。

Article 8 The online transaction of mining rights may adopt a whole-process online transaction method according to these Rules, or a semi-process online transaction method combining "online + offline", which shall be specified by the transferor in the transaction scheme. The semi-process online transaction mode of "online + offline" means that the transaction links such as information release, bidding application, qualification review and results publicity shall be carried out in the online transaction system and implemented in accordance with the relevant provisions of these Rules; the transaction links such as quotation, bidding and transaction confirmation shall be conducted at the offline transaction site, and implemented in accordance with the relevant national and provincial regulations. Non-confidential information such as listing quotation and bidding results in offline transactions shall be timely filled in and disclosed in the online transaction system.

第九条 海砂采矿权和自然资源部委托省自然资源和规划主管部门实施油气等矿业权出让的,暂不适用本规则。

Article 9 If the Ministry of Sea Sand Mining Rights and Natural Resources entrusts the Department of Natural Resources and Planning of Hainan Provinceto transfer oil and gas mining rights, these Rules are not applicable for the time being.

第二章 一般规定

Chapter II General Provisions

第十条 网上交易实行数字认证制度,网上交易相关监管人员、出让人、竞买人、省矿业权交易中心和其他管理人员均持CA数字证书实名登录网上交易系统进行相关操作,并对操作指令负责。

Article 10 The digital authentication system shall be implemented for online transactions. Online transaction-related supervisors, transferors, bidders, Provincial Transaction Center of Mining Rights and other management personnel all log in to the online transaction system in real names with CA digital certificates to perform related operations, and shall be responsible for operating instructions.

第十一条 网上交易时间均以网上交易系统服务器时间为准,数据记录时间以数据信息到达网上交易系统服务器的时间为依据。

Article 11 The time involved in the online transaction shall be subject to the server time of the online transaction system. The data recording time shall be based on the time when the data information reaches the server of the online transaction system.

第十二条 网上交易系统管理单位和技术支持单位有权对出让人、竞买人网上交易形成的电子数据进行保留,并作为出让人、竞买人交易行为的证明。

Article 12 The administrative unit of the online transaction system and the technical support unit have the right to retain the electronic data formed by the online transactions of the transferor and the bidder, and serve as the proof of their transaction behaviors.

第十三条 矿业权网上出让设有底价的,底价在交易活动结束前应当严格保密,在挂牌报价期截止前30分钟内或拍卖开始前30分钟内由出让人将底价录入网上交易系统。未按时录入底价的,网上交易系统自动终止该宗交易活动。

底价录入应当在专门场所及专用电脑上操作完成,并有监督人员进行全程监督,确保底价录入真实、准确、全程保密。底价录入具体操作规程由县级以上自然资源和规划主管部门自行确定。

Article 13 If there is a reserve price for online transfer of mining rights, the reserve price shall be kept strictly confidential before the end of transaction, and the transferor shall enter the reserve price into the online transaction system within 30 minutes before the deadline for the listing quotation or 30 minutes before the beginning of the auction. The online transaction system will automatically terminate the transaction if the reserve price is not entered on time. The entry of the reserve price shall be completed in a special place and on a dedicated computer, and supervision personnel shall supervise the whole process to ensure the authenticity, accuracy and confidentiality of the entry of the reserve price. Specific operating procedures for entry of the reserve price shall be determined by the natural resources and planning authorities at or above the county level.

第三章   信息发布

Chapter III Information Release

第十四条 省矿业权交易中心受出让人委托实施矿业权网上交易活动,应根据出让人要求编制出让公告、出让须知等交易文件,经出让人审查同意后,及时在网上交易系统发布。

第十五条 网上交易公告应当以单宗矿业权进行发布,即“一宗矿一公告”。公告内容、发布渠道应当符合国家和省相关规定以及本规则的要求。各渠道发布的交易公告应保持时间同步、内容一致。

Article 15 Online transaction announcements shall be issued in the form of a single mining right, that is, "one announcement for one mine". The contents and release channels of announcement shall comply with relevant national and provincial regulations and the requirements of these Rules. Transaction announcements issued by various channels should keep the time synchronized and the content consistent.

第十六条 网上出让公告应当至少在挂牌报价、拍卖竞价活动开始日前20个工作日发布。网上挂牌的,挂牌报价时间不少于10个工作日。竞买申请截止时间应当设定在挂牌报价开始日前2个工作日。 网上拍卖的,竞买申请截止时间在拍卖竞价开始日前2个工作日。

Article 16 The online transfer announcement shall be released at least 20workingdays before the start of listing quotation and auction bidding. For online listings, the quotation time shall not be less than 10workingdays. The deadline for bidding application shall be set 2 days before the commencement date for listing quotation. For online auctions, the deadline for bidding application shall be set 2 workingdays before the commencement date of auction bidding.

第十七条 出让人对矿业权出让信息的准确性、真实性、合规性负责,并承担违规发布矿业权出让公告的责任。

Article 17 The transferor shall be responsible for the accuracy, authenticity and compliance of the information on the transfer of mining rights, and shall be responsible for releasing the announcement on the transfer of mining rights in violation of regulations.

第十八条 出让公告一经发布,即具有公信力,不得随意更改。出让公告、出让须知内容需要调整修改的,出让人应当终止原公告后重新发布出让公告。

Article 18 Once the transfer announcement is released, it shall have public credibility and shall not be changed at will. If the contents of the transfer announcement and instructions need to be adjusted and modified, the transferor shall terminate the original announcement and re-issue the transfer announcement.

第十九条 出让人可以通过照片等方式在网上交易系统发布反映矿业权现实状况的有关信息。竞买人提出现场踏勘需求的,出让人应当提供必要的协助。

Article 19 The transferor may release relevant information reflecting the actual conditions of mining rights in the online transaction system through photos and other means. The transferor shall provide necessary assistance if the bidder requests a site survey.

第四章 竞买申请和资格审核

Chapter 4 Bidding Application and Qualification Review

第二十条 网上竞买申请、资格审核、报价竞价程序按网上交易系统预先设定的程序运行,竞买人应当在仔细阅读并熟知交易规则和有关文件后,参加网上挂牌、拍卖活动。 竞买申请一经提交,即视为竞买人对交易规则、出让须知、矿业权使用条件、现状和可能存在的风险提示等无异议并完全接受。

Article 20 The procedures of online bidding application, qualification review, quotation and bidding shall be operated according to the pre-set procedures of the online transaction system. Bidders shall carefully read and be familiar with transaction rules and relevant documents before participating in online listing and auction activities. Once the bidding application is submitted, it shall be deemed that the bidder has no objection to and fully accepts the transaction rules, transfer instructions, using conditions for mining rights, status quo and possible risks.

第二十一条 竞买人应当妥善保管 CA数字证书,竞买人通过网上交易系统实施的任何行为,其产生的法律责任由竞买人自行承担。 竞买人的信息资料如有任何变动,须及时更新CA数字证书,否则由此引起的法律责任由竞买人自行承担。

Article 21 Bidders shall properly keep the CA digital certificate, and bear the legal liability arising from any of their acts through the online transaction system. In case of any change in the bidder's information, the CA digital certificate must be updated in time, otherwise the bidder shall bear the legal liability arising therefrom.

第二十二条 竞买人应当按照矿业权交易文件的要求,在公告规定的竞买申请时间内登录网上交易系统,提交竞买申请、上传竞买申请文件。同时竞买多宗矿业权的,应当分别申请。

Article 22 Bidders shall, in accordance with the requirements of the transaction documents of mining rights, log in to the online transaction system within the bidding application time stipulated in the announcement, submit bidding application and upload bidding application documents. Bidders who bid for multiple mining rights at the same time shall apply separately.

第二十三条 省矿业权交易中心、出让人在竞买申请截止后才能对申请竞买人提交的竞买申请文件进行审核,并对竞买申请情况保密。 竞买资格审核开始后,省矿业权交易中心、出让人应当在2个工作日内完成竞买申请文件审核。

Article 23 the Mining Rights Transaction Center of Hainan Provinceand the transferor can only review the bidding application documents submitted by the bidding applicant after the deadline of the bidding application, and keep the bidding application confidential. After the bidding qualification review begins, the Mining Rights Transaction Center of Hainan Provinceand the transferor shall complete the review of bidding application documents within 2 working days.

第二十四条 竞买人的竞买申请文件审核通过的,网上交易系统自动发放《竞买资格确认书》,确认其获得竞买资格;审核未通过的,不能获得竞买资格,审核结果通过网上交易系统告知竞买人。

Article 24 If a bidder's bidding application documents are approved, the online transaction system will issue the "Confirmation of Bidder Qualification" automatically to confirm that the bidder obtained the bidding qualification; if the bidding application documents fail to pass the review, the bidder shall not be eligible for bidding, and the review results shall be notified to the bidder through the online transaction system.

第五章 网上挂牌

Chapter 5 Online Listing

第二十五条 矿业权网上挂牌分为挂牌报价和限时竞价两个阶段,获得竞买资格的竞买人在挂牌报价和限时竞价阶段按照以下规则报价:

Article 25 The online listing of mining rights is divided into two stages: listing quotation and time-limited bidding. Bidders qualified for bidding shall quote according to the following rules in the listing quotation and time-limited bidding stages:

(一)报价以增价方式进行,同一竞买人可连续或多次报价。

(1) The quotation shall be carried out by means of price increase, and the same bidder may make consecutive or multiple quotations.

(二)初次报价不得低于公告起始价,之后每次报价应当比当前最高有效报价增加至少一个加价幅度,否则为无效报价,系统不予接受。

(2) The initial quotation shall not be lower than the announced starting price, and each subsequent quotation shall increase by at least one more price than the current highest effective quotation; otherwise, the quotation will be invalid and will not be accepted by the system.

(三)报价相同时,系统自动确认先提交价格者为报价人。

(3) When the quotations are the same, the system automatically confirms that the one who submits the price first is the bidder.

(四)竞买人应当谨慎报价,报价一经系统接受将即时公布。

(4) Bidders shall quote cautiously. The quotation will be released immediately once accepted by the system.

第二十六条 挂牌报价阶段无竞买人报价,挂牌报价截止时矿业权网上挂牌活动自动结束;挂牌报价阶段有竞买人报价,挂牌报价截止时系统自动询问所有竞买人是否参与限时竞价,询问时间为5分钟。

Article 26 If there is no bidder's quotation in the listing and quotation stage, and the online listing of mining rights will automatically end when the listing and quotation ends; if there is a bidder's quotation in the listing and quotation stage, the system will automatically ask all bidders whether to participate in the time-limited bidding when the quotation ends. The inquiry time is 5 minutes.

第二十七条 无竞买人选择参与限时竞价的,矿业权网上挂牌活动结束,以挂牌报价截止时的最高报价为最终报价;有竞买人选择参与限时竞价的,系统进入限时竞价阶段,所有获得竞买资格的竞买人均可参与限时竞价。矿业权网上挂牌限时竞价的起始价为挂牌报价截止时的最高报价增加一个加价幅度后的价格。Article 27 If no bidder chooses to participate in the time-limited bidding, the online listing of mining rights will end, and the highest quotation at the time of closing of listing quotation will be the final quotation. If a bidder chooses to participate in the time-limited bidding, the system will enter the time-limited bidding stage, and all qualified bidders may participate in the time-limited bidding. The starting price of online time-limited bidding for mining rights shall be the price after the highest quotation at the deadline of listing quotation is increased by a price increase range.

第二十八条 矿业权网上挂牌限时竞价阶段以 5分钟倒计时为竞价时限,如在5分钟倒计时内有新的报价,系统即从接受新的报价起重新倒计时5分钟。

每次5分钟倒计时的最后1分钟,网上交易系统自动持续出现限时竞价即将截止的提示。5分钟倒计时截止,系统不再接受新的报价,当前最高报价为最终报价。Article 28 The time-limited bidding stage for the online listing of mining rights takes a 5-minute countdown as the bidding time limit. If there is a new quotation within the 5-minute countdown, the system will count down again for 5 minutes from the acceptance of the new quotation. At the last minute of each 5-minute countdown, the online transaction system will automatically continue to prompt that the time-limited bidding is about to end. At the end of the 5-minute countdown, the system will no longer accept new quotations, and the current highest quotation is the final quotation.

第二十九条 竞买人应当尽量避免在挂牌报价截止或限时竞价倒计时截止前最后1分钟内进行报价,以免因网络延迟等造成网上交易系统无法接受数据导致报价无效,出让人对此不承担任何责任。

Article 29 Bidders shall try their best to avoid making quotations within the last minute before the end of the listing quotation or the deadline of the time-limited bidding countdown, so as to avoid the failure of the online transaction system to accept the data and result in the invalid quotation due to network delay, for which the transferor shall not bear any responsibility.

第三十条 矿业权网上挂牌按下列规则确认是否成交:

Article 30 The online listing of mining rights shall be confirmed whether the transaction is concluded according to the following rules:

(一)有底价的,最终报价不低于底价的,最终报价者为竞得人,挂牌成交;低于底价的,挂牌不成交。

(1) If there is a reserve price, and the final quotation is not lower than the reserve price, the final bidder shall be the winning bidder, and the listing transaction shall be concluded; if it is lower than the reserve price, the listing will not be concluded.

(二)无底价的,最终报价者为竞得人,挂牌成交。

(2) If there is no reserve price, the final bidder shall be the winning bidder, and the listing transaction shall be concluded

第六章 网上拍卖

Chapter VI Online Auction

第三十一条 获得矿业权网上拍卖竞买资格的竞买人不得少于三人。少于三人的,网上交易系统自动终止拍卖活动。

Article 31 There shall be no less than three bidders qualified for online auction of mining rights. If there are less than three bidders, the online transaction system will automatically terminate the auction.

第三十二条 矿业权网上拍卖报价规则适用本规则第二十五条规定。

Article 32 The provisions of Article 20 of these Rules shall apply to the online auction quotation rules for mining rights.

第三十三条 矿业权网上拍卖以限时竞价形式进行,每次报价以5分钟倒计时为竞价时限,倒计时规则适用本规则第二十八条规定。

Article 33 The online auction of mining rights shall be conducted in the form of time-limited bidding. Each quotation shall be subject to a 5-minute countdown as the bidding time limit. The provisions of Article 28 of these Rules shall apply to the countdown rules.

第三十四条 矿业权网上拍卖开始后第一次 5分钟倒计时内无竞买人报价的,网上拍卖结束,拍卖不成交;有竞买人报价的,成交确认规则适用本规则第三十条规定。

Article 34 If there is no bidder's quotation within the first 5-minute countdown after the online auction of mining rights starts, the online auction ends and the auction will not be concluded; If there is a bidder's quotation, the provisions of Article 30 of these Rules shall apply to the transaction confirmation rules.  

第七章 成交确认和结果公示

Chapter VII Transaction Confirmation and Results Publicity

第三十五条 矿业权网上挂牌、网上拍卖确认竞得后,网上交易系统自动向竞得人发送《竞价结果通知书》,并即时告知交易结果。

Article 35 After mining rights are listed online and the online auction confirms the winning, the online transaction system will automatically send the Notice of Bidding Results to the winning bidder and notify the transaction results immediately.

第三十六条 竞得人应当按照《竞价结果通知书》的要求,在竞得之日起5个工作日内携带相关交易竞买申请文件,与出让人、省矿业权交易中心签订《成交确认书》。

Article 36 The winning bidder shall, in accordance with the requirements of the Notice of Bidding Results, sign the Transaction Confirmationwith the transferor and the Mining Rights Transaction Center of Hainan Provincewithin 5 working days from the date of winning the bidding with relevant application documents for bidding.

第三十七条 《成交确认书》签订后5个工作日内,省矿业权交易中心将成交结果进行公示,并将交易结果相关公示信息上传网上交易系统。公示期限不少于10个工作日。

Article 37 Within 5 working days after signing the Transaction Confirmation,the Mining Rights Transaction Center of Hainan Provinceshall publicize the transaction results and upload the publicity information related to the transaction results to the online transaction system. The publicity period shall not be less than 10 working days.

第三十八条 《成交确认书》签订后,竞得人在约定的期限内与出让人签订矿业权出让合同。

Article 38 After the Transaction Confirmationis signed, the winning bidder shall sign the transfer contract of mining rights with the transferor within the agreed time limit.  

第三十九条 因系统故障导致竞得结果错误、竞得人放弃竞得资格等原因,出让人需要取消成交结果的,应当书面通知省矿业权交易中心在网上交易系统撤销该宗矿业权的网上交易结果。

Article 39 If the transferor needs to cancel the transaction results due to the wrong bidding results caused by a system failure, or the bidder waives the bidding qualification, it shall notify the Mining Rights Transaction Center of Hainan Provincein writing to cancel the online transaction results of mining rights in the online transaction system.

第八章 交易中止和终止

Chapter 8 Suspension and Termination of Transactions

第四十条 有下列情形之一的,出让人应当书面通知省矿业权交易中心发布中止公告,中止矿业权网上交易活动:

Article 40 Under any of the following circumstances, the transferor shall notify the Mining Rights Transaction Center of Hainan Provincein writing to issue a suspension announcement to suspend the online transaction of mining rights:

(一)监察机关、司法机关等依法要求中止网上交易活动的

(1) The supervisory and judicial organs require the suspension of online transactions in accordance with the law;

(二)网上交易系统软、硬件故障,网上交易系统网络专线故障,CA数字认证系统故障,电力故障等因素,导致网上交易系统不能正常运行的;

(2) The factors such as the failure of the software, hardware and the network dedicated line of the online transaction system, the failure of the CA digital certification system and the power failure cause the online transaction system to fail to operate normally;

(三)黑客入侵、电脑病毒传播等网络安全问题,导致系统不能正常运行或数据被篡改丢失的;

(3) Network security issues such as hacker intrusion and computer virus spread result in the abnormal operation of the system or data tampering and loss;

(四)因不可抗力应当中止网上交易活动的;

(4) Online transactions should be suspended due to force majeure;

(五)依照法律法规和有关规定应当中止网上交易活动的其他情形。

(5) Other circumstances under which online transactions should be suspended in accordance with laws, regulations and relevant provisions.

第四十一条 矿业权网上交易活动中止的原因消除后,出让人应当及时发布恢复公告,恢复网上交易活动。网上交易中止后恢复交易的,交易时间相应顺延。交易中止前已取得竞买资格的竞买人,其竞买资格在交易恢复后继续有效。

Article 41 After the reasons for the suspension of online transactions of mining rights are eliminated, the transferor shall timely issue a resumption announcement to resume online transactions. If the online transaction resumes after suspension, the transaction time shall be postponed accordingly. For bidders who have obtained bidding qualifications before the transaction is suspended, their bidding qualifications shall continue to be valid after the resumption of the transaction.

第四十二条 有下列情形之一的,出让人应当书面通知省交易中心发布终止公告,终止矿业权网上交易活动:

Article 42 Under any of the following circumstances, the transferor shall notify the Mining Rights Transaction Center of Hainan Provincein writing to issue a termination announcement to terminate the online transaction of mining rights:

(一)网上交易中止时间超过5个工作日,不能恢复交易的;

(1) The online transaction is suspended for more than 5 working days and cannot be resumed;

(二)监察机关、司法机关等依法要求终止网上交易活动的

(2) The supervisory and judicial organs require the termination of online transactions in accordance with the law;

(三)出让人提出终止网上交易活动的;

(3) The transferor proposes to terminate the online transactions;

(四)因不可抗力应当终止网上交易活动的;

(4) Online transactions should be terminated due to force majeure;

(五)依照法律法规和有关规定应当终止网上交易活动的其他情形。

(5) Other circumstances under which online transactions should be terminated in accordance with laws, regulations and relevant regulations.

第四十三条 出让人发布中止公告和终止公告的,应当明确中止、终止交易的具体理由,在原公告渠道同步发布,并通知已提交申请的竞买人。

Article 43 If the transferor issues the suspension and termination announcements, the specific reasons for the suspension or termination of the transaction shall be specified, and released simultaneously in the original announcement channel, and the bidders who have submitted their applications shall be notified.

第四十四条 出现本规则第四十条第(二)、(三)、(四)项情况的,出让人和省矿业权交易中心应当按照《海南省建设用地使用权和矿业权网上交易应急处置办法》《海南省建设用地使用权和矿业权网上交易系统运行维护和应急处置预案》及时采取应急措施予以处置,不承担相关责任。

Article 44 In case of any situation in items (2), (3) and (4) of Article 40 of these Rules, the transferor and the Mining Rights Transaction Center of Hainan Provinceshall take emergency measures for disposal in time in accordance with theMeasures for Emergency Response of Online Transaction of Construction Land-Use Rightsand Mining Rights in Hainan Province, the Operation, Maintenance and Emergency Response Plan for the Online Transaction System for Construction Land-Use Rightsand Mining Right in Hainan Province without assuming relevant responsibilities.

第四十五条 竞买人无法出价的,应当提交有关佐证材料及时向出让人反映。出让人应当在第一时间内对竞买人反映的疑似交易异常情况书面通知省矿业权交易中心。省矿业权交易中心应当立即组织技术支撑力量查找原因,排除故障。Article 45 If a bidder is unable to make a bid, it shall submit relevant supporting materials to the transferor in a timely manner. The transferor shall, within the first time, notify the Mining Rights Transaction Center of Hainan Provincein writing of the suspected abnormal situation of the transaction reported by the bidder. the Mining Rights Transaction Center of Hainan Provinceshall immediately organize technical personnel to help find out the causes and eliminate faults.

第四十六条 因竞买人使用的计算机遭遇网络堵塞、病毒入侵、软硬件故障或者损毁、遗失数字证书,遗忘或者泄露密码等原因,导致不能正常登录网上交易系统或进行申请、报价、竞价等,其后果由竞买人自行承担,网上交易活动不中止或终止。

Article 46 If the computer used by the bidder encounters network blockage, virus intrusion, software and hardware failure or damage, loss of digital certificate, forgetting or divulging password, resulting in a failure to log in to the online transaction system or make an application, quotation or bid, the consequences shall be borne by the bidder, and the online transactions shall not be suspended or terminated.

第九章 监督监管

Chapter 9 Supervision and Regulation

第四十七条 网上交易活动中相关工作人员存在玩忽职守、滥用职权、接受贿赂等行为的,依法依规追究有关人员责任。

Article 47 If relevant staff members neglect their duties, abuse their powers, and accept bribes in online transactions, they shall be held accountable in accordance with laws and regulations.

第四十八条 出让人擅自改变竞得结果,或者竞得人放弃竞得的,应当由相应行为人承担相应法律责任。

Article 48 If the transferor changes the results of the competition without authorization, or the winning bidder abandons the competition, the corresponding actor shall bear the corresponding legal liability.

第四十九条 竞得人有下列行为之一的,竞得结果无效;造成损失的,应当依法承担赔偿责任

Article 49 If a winning bidder commits one of the following acts, the result of the bidding shall be invalid; if losses are caused, it shall be liable for compensation according to law:

(一)提供虚假信息或隐瞒事实的

(1) Providing false information or concealing facts;

(二)采取行贿、恶意串通等非法手段竞得的;

(2) Winning by illegal means such as bribery or malicious collusion;

(三)对其他竞买人实施网络攻击非法竞得的。

(3) Illegally winning by carrying out cyber attacks on other bidders.

第五十条 省自然资源和规划主管部门适时开展抽查,发现交易活动违法违规的,责令各市县自然资源和规划主管部门及时纠正,情节严重的,通报批评,限期整改,并依法依规追究责任。

Article 50 The Department of Natural Resources and Planning of Hainan Provinceshall conduct spot checks at appropriate time. If it finds that the transactions violate laws and regulations, it shall order the natural resources and planning department of each city and county to correct them in time. If the circumstances are serious, it shall circulate a notice of criticism to require rectification within a prescribed time limit, and investigate for liability according to law and regulations.

第五十一条 省自然资源和规划主管部门依法受理群众对违法违规交易行为的举报和投诉,并及时开展调查处理。

Article 51 The Department of Natural Resources and Planning of Hainan Provinceshall accept reports and complaints from the public about illegal transactions in accordance with the law, and carry out investigation and handling in a timely manner.

第十章 附  则

Chapter X Supplementary Provisions

第五十二条 省自然资源和规划主管部门保留对本规则的解释权,并有权根据实际情况对本规则做出适时的修改。

Article 52 The Department of Natural Resources and Planning of Hainan Provincereserves the right to interpret these Rules and make timely amendments to these Rules according to actual conditions.

第五十三条 本规则自印发之日起实施,有效期5年。

Article 53 These Rules shall come into force as of the date of issuance and shall be valid for 5 years.
